1.Purpose

These Terms and Conditions govern the graphic design and website creation services provided
by Visual Craft.

The services include, but are not limited to:

A) Visual Identity Design

Logos, Graphic elements, Patterns/textures, Color palettes, Typography, Moodboards, Brand
guidelines and Any other graphic deliverables related to brand identity.

B) Support, Methodology, and Working Documents

As part of its services, Visual Craft may provide various working materials and documents
intended to support the reflection, structuring, and presentation of the project, including but not
limited to: Strategic questionnaires, Creative direction documents, Brand presentations,
Onboarding materials. These documents are considered working and methodological tools.  
Unless otherwise specified, they are not considered final deliverables and remain the intellectual
property of Visual Craft. They may not be shared, reproduced, or distributed without prior written
consent.

Orders and Quotes

All projects are subject to a detailed quote.  
Signing the quote constitutes acceptance of these Terms and Conditions.

The quote is valid for 15 days from its date of issue.

Any modification to the project during execution may result in an adjustment to the quote.

Pricing and Payment

All prices are listed in euros (€).  
Visual Craft operates under the VAT exemption scheme.  
VAT not applicable under Article 293B of the French General Tax Code.

Deposit: 50% of the total amount, payable upon acceptance of the signed quote.

Balance: Full payment is due within 7 days and must be received before delivery of final
deliverables.

Payment methods:

All payments (deposit and balance) are made via secure online payment with Stripe using
a credit or debit card. Stripe automatically generates an official receipt/invoice that the
client can download in PDF format.

Any late payment may result in legal penalties and applicable collection fees.

Timeline and Delivery

The delivery timeline will be estimated once the order is confirmed, depending on the
complexity of the project and the information provided by the client.

Completion timelines are provided for guidance only and may be adjusted in the event of
delays attributable to the client (content submission, approvals, feedback, etc.).

Deliverables will be provided only after full payment of the remaining balance.

Visual Craft shall not be held liable for delays caused by circumstances beyond its control.

5.Intellectual Property and Transfer of Rights

All creations remain the intellectual property of Visual Craft until full payment has been
received.

Usage: The client may use the creations (logo, brand identity, graphic content) for their
communication on web, print, and social media, exclusively within the scope of their
business activity.
Duration: Unlimited, with no time restriction.
Exclusivity: The client is granted exclusive commercial usage rights. Visual Craft retains
the right to display the creations in its portfolio, promotional materials, and professional
communications.
The client may not resell, transfer, or redistribute the creations to third parties without prior
written consent from Visual Craft.
The client may not resell or transfer the creations without written authorization.

Visual Craft reserves the right to showcase the creations in its portfolio and for promotional
purposes.

Typography Licenses :

The fonts used in graphic creations may be free or paid typefaces.

Licenses for paid fonts are not included in the service price and remain the sole
responsibility of the client.

Visual Craft will provide the names of the fonts and their sources so the client can legally
purchase the necessary licenses for commercial use.

6.Liability

Visual Craft shall not be held liable for:

Errors or delays caused by content provided by the client

Malfunctions related to hosting services or third-party platforms

Liability is limited to the total amount of the project.
